- Placing Orders:
Orders may be placed by mail, email, fax, or EDI.
- Confirming Orders:
Confirming orders are not required by KNIPEX Tools LP, and should not be sent.
Minimum billing is $100 per order, excluding any freight charges.
Orders for less than the minimum quantities as indicated in the price sheet will be automatically increased to the minimum quantity.
CANCELLATIONS AND ADDITIONS
Due to automated equipment, it is impossible to add to orders that have already been placed. Cancellation of an order for standard merchandise will be accepted without penalty, prior to shipment. Cancellation of an order for non-standard merchandise will not be accepted once item is in production.
Standard payment terms are 2%, 30, net 31. A service charge of 1.0% per month or fraction thereof, or the highest interest rate permitted by applicable law, will be charged on all overdue accounts. Freight charges do not qualify for cash discount.
All prices and terms are subject to change without notice. Orders are accepted on the basis that they will be invoiced at the prices and terms in effect on the date an order is received by KNIPEX Tools LP, providing order calls for immediate shipment. Orders requesting future shipments will be invoiced at the price in effect at the time of shipment.
- Regular Freight Terms:
Shipments of all orders placed with KNIPEX Tools LP will be F.O.B. Warehouse, New Jersey. All orders exceeding $350.00, net billing for standard merchandise, will be shipped prepaid via our routing. These freight terms apply to the United States, including Hawaii and Alaska.
- Special Freight Terms:
Freight allowance is not available for special routing.
KNIPEX Tools LP has no responsibility for notifying distributors if orders do not meet the requirements for prepayment of freight charges.
- Multiple Shipping Dates:
On orders requesting multiple shipping dates, each shipment will be considered a separate order in applying the above freight terms. To facilitate handling, it is requested that separate orders be submitted when multiple shipping dates are desired. All orders calling for multiple shipping dates will be shipped and billed at prices in effect on the date of shipment.
- Tracing Shipments:
If after a reasonable time merchandise in transit is not received, consignee should trace through carrier or should contact KNIPEX Tools, LP Customer Service for assistance.
- Shortage or Damage:
Should a shipment become damaged in transit, immediately contact the carrier for inspection, and have them issue an inspection report. The claim then should be filed with the carrier. Shortages must be reported to KNIPEX Tools LP Customer Service within 14 days of shipment. Claims not reported within this time period will not be allowed.
On UPS shipments damaged in transit, contact KNIPEX Tools, LP to file claim. Do not throw out the shipping carton - inspector must see the carton.

- Return of Merchandise:
Only current products will be accepted for return. MERCHANDISE CANNOT BE RETURNED WITHOUT PRIOR AUTHORIZATION. All returns must include a KNIPEX Tools LP Return Goods Authorization (RGA) number. The RGA number can be obtained by calling Customer Service. We will not be responsible for, nor guarantee credit or replacement on, any product returned to KNIPEX Tools LP, without prior authorization. Under no circumstances will we accept collect shipments. PRODUCTS RETURNED MUST BE RECEIVED BY KNIPEX TOOLS LP IN RE-SALEABLE CONDITION. PRODUCT THAT CANNOT GO BACK TO STOCK AS RECEIVED WILL NOT BE ACCEPTED. PLEASE PACK SHIPMENTS CAREFULLY.
- Restocking Charge:
All returns are subject to a restocking charge of 15% of distributor net price and must be shipped prepaid.
- Repacking Charge:
A minimum repacking fee of 35% of current distributor net price will be charged for all returned product requiring repackaging. Specific items may require additional charges.
Possession of a price list does not constitute the right to purchase merchandise at the prices shown. Prices on any KNIPEX Tools LP price sheet will apply only to duly authorized KNIPEX Tools LP distributors.

ACCEPTANCE OF GENERAL TERMS
All distributor purchase orders submitted by our distributors are accepted by KNIPEX Tools, LP per the general terms as stated herein. These terms supersede all conflicting terms contained in any distributor purchase order.
- KNIPEX manufactures the highest quality tools for industrial and commercial use. Any product manufactured by KNIPEX that fails due to workmanship or materials will be replaced at no charge. In the unlikely event that the exact type of tool should not be available, for example due to program change, KNIPEX will replace with a similar item of the same performance.
This warranty does not apply in any way to product failures caused by misuse, abuse, alteration or tools worn out by use. KNIPEX makes no other warranties, express or implied, with respect to the tools and their suitability for specific applications. Replacement is the exclusive remedy and KNIPEX neither assumes, nor authorizes any person to assume for it, any other warranty, or obligation express or implied. In no event shall KNIPEX be liable for incidental or consequential damage.
- Warranty Returns:
All warranty returns must include a Warranty Return Authorization (WRA) number. The WRA number can be obtained by calling Customer Service.
